Bank Loan Settlement in Patna Bank OTS and debt settlement — process, documents and remedy.

A bank loan settlement — called a bank OTS (One Time Settlement) or debt settlement — is a negotiated compromise in which the lender accepts less than the full outstanding in full and final satisfaction of an NPA account. In Patna, every OTS is governed by the RBI Framework for Compromise Settlements and Technical Write-offs dated 8 June 2023, run through the bank’s Board-approved policy, and — where it breaks down — litigated before DRT Patna, DRAT Allahabad and the Patna High Court.

Patna-specific: where a bank loan settlement is negotiated and enforced

If your loan account has turned NPA at a bank branch in Patna — Kankarbagh, Boring Road, Bailey Road, Exhibition Road, Patliputra, Rajendra Nagar, Danapur, Kadamkuan, Maurya Lok or Gandhi Maidan — the bank OTS proposal goes to that branch’s Recovery / Stressed Assets Management desk, then upward to the Regional Office, Credit Committee and, for large accounts, the Board. If the settlement breaks down, the forum is DRT Patna under Section 19 of the RDB Act; the appeal is to DRAT Allahabad; and the writ court is the Patna High Court. For a Bihar Gramin Bank account, the Regional Manager is the competent authority for sympathetic consideration — as the Patna High Court itself directed in Suman Kumar v. State of Bihar.

What Bank Loan Settlement Actually Is

Bank OTS is a compromise settlement under a Board-approved policy — not a waiver you can demand

The RBI’s June 2023 Framework replaced the earlier OTS circulars and created a single, uniform rulebook for every regulated entity. Understanding its four pillars is the difference between a settlement that closes the account and one that collapses.

RBI/2023-24/40 · DOR.STR.REC.20/21.04.048/2023-24 · 8 June 2023

Four pillars of the RBI compromise settlement framework

  1. Board-approved policy is mandatory — every bank, NBFC, small finance bank, regional rural bank and ARC must have a Board-approved policy for compromise settlements, laying down eligibility, minimum ageing, deterioration in collateral value, approval authority at each settlement level, and the process to be followed.
  2. Only NPA accounts qualify — OTS is available for substandard, doubtful and loss accounts, including fully written-off accounts. Standard assets — accounts current or overdue for less than 90 days — cannot be compromised. The 90-day IRAC default threshold is the gate.
  3. Wilful defaulters and fraud accounts are now included — the June 2023 Framework explicitly permits compromise settlements with wilful default and fraud accounts, subject to Board-recorded justification and a 12-month cooling-off period before the borrower can access fresh credit from the banking system.
  4. OTS is not a borrower’s right — it is a commercial decision of the lender. The RBI framework treats the bank’s decision on an OTS proposal as a commercial judgment the regulator will not override. But where the Board-approved policy provides for OTS in a category, the bank must apply it consistently and cannot arbitrarily deny an eligible borrower on grounds not in the policy.

Bank OTS vs debt settlement — the practical difference

A bank OTS is the formal, Board-policy-driven compromise of a term loan, cash credit or business facility — normally above ₹1 crore, processed through the Credit Committee with a written sanction letter on official letterhead.

Debt settlement is the broader commercial term, covering OTS of personal loans, credit cards and smaller unsecured facilities, often handled by recovery agents or at Lok Adalat. Both end in a reduced payment and a “Settled” credit-bureau tag — but only OTS produces the formal sanction letter, NDC and CERSAI discharge that a business borrower needs.

RBI has banned verbal-only settlements

Under the RBI’s consumer protection rules on loan defaults, verbal-only OTS arrangements are banned entirely. Every settlement now requires a written letter on official letterhead, detailing the exact terms, before a single rupee is collected.

For a Patna borrower, this is protective: if a recovery agent offers a figure on the phone and asks for a transfer, there is no settlement. Insist on the Core Banking System (CBS) OTS sanction letter signed by an authorised Scale-IV officer before paying anything.

Bank OTS Process in Patna — Step by Step

From hardship file to No Dues Certificate — the seven-stage bank OTS process

The OTS process is not a single negotiation. It is a documented application, an internal credit approval chain, a written sanction, a payment schedule and a closure — and each stage has a paper trail the bank will check.

Stage 1

Hardship file and OTS proposal

The borrower submits a written bank OTS proposal to the Recovery / NPA department, stating the proposed OTS amount, the payment timeline, the basis for the figure, and the conditions. It must be accompanied by a documented hardship file — audited financials, ITRs, bank statements, medical records, termination letters or business closure proof.

Forum: Branch Recovery desk, Patna
Stage 2

Internal assessment against policy

The bank’s Recovery department prepares an internal note comparing the proposal against the Board-approved policy — eligibility, minimum ageing, collateral value, and the net present value of expected recovery through DRT or SARFAESI enforcement versus immediate OTS cash.

Forum: Bank Recovery / SAMB, Patna
Stage 3

Credit Committee and Board approval

Most banks require Credit Committee approval for OTS above a threshold — commonly ₹5 crore — and full Board approval above the Committee’s delegated authority, often ₹25 crore in large banks. Board meetings are monthly, which adds time.

Forum: Zonal / Head Office
Stage 4

OTS sanction letter issued

The bank issues an OTS sanction letter specifying the agreed OTS amount, the payment schedule (upfront plus instalments), the validity of the offer — typically 90 to 120 days — the conditions (no transfer of assets, securities to remain in the bank’s name until completion) and the consequences of default.

Forum: Bank on official letterhead
Stage 5

OTS deed and payment

The OTS deed — also called the compromise deed or consent terms — is the binding contract. It must name the borrower, co-borrowers and guarantors, record the OTS amount and schedule, provide for suspension of DRT and SARFAESI proceedings, and specify guarantor and security release on completion. Payment must be by cheque, NEFT or RTGS — never cash.

Forum: Bank branch, Patna
Stage 6

No Dues Certificate and security release

On receipt of the full OTS amount, the bank issues a No Dues Certificate (NDC), withdraws all DRT and SARFAESI proceedings, returns the original title documents, and files the CERSAI discharge. Without the NDC, the bank can later resurrect a claim for “interest accrued during settlement processing”.

Forum: Bank branch, Patna
Stage 7

Credit bureau reporting

The bank reports the account to CIBIL, Experian and Equifax. The status becomes “Settled” — not “Closed” — and this tag remains for up to seven years from the date of settlement, typically dropping the score by 75–100 points.

Patna practice note: OTS at the DRT Patna Recovery Officer stage

If a decree has already been passed and a Recovery Certificate issued, a bank loan settlement is still possible — the parties can file a joint application before the Recovery Officer recording the settlement, and the modes of recovery are then dealt with under Sections 25 to 28 of the RDB Act, 1993. Where the bank consents, the OTS can also be recorded as consent terms before DRT Patna, producing a consent decree directly enforceable by the Recovery Officer without a fresh original application. This is often the fastest route for a Patna borrower facing attachment.

Bank OTS Documents for Patna Borrowers

The hardship dossier decides the waiver — assemble it before you negotiate

Under RBI compromise settlement norms, banks cannot grant discretionary principal write-offs without an audited hardship dossier proving involuntary inability to pay. The burden of proof sits squarely on the borrower.

Hardship and financial proof

  • Income Tax Returns — last 2–3 years, showing year-over-year decline or loss
  • Audited P&L and balance sheet — for business borrowers, with GST filings and closure notice if applicable
  • Bank statements — 6 to 12 months, across all active accounts, certified, showing zero hidden liquidity and no fund diversion
  • Medical records and bills — for chronic illness or catastrophic medical emergency
  • Termination letter, pink slip or salary reduction notice — for job loss or income collapse
  • Death certificate — where the borrower or co-borrower has died
  • A written statement of genuine hardship — 2–3 pages, narrating the original loan terms, the cause of default, current income, and the maximum offer

Loan, security and post-settlement documents

  • Loan account statement — facility-wise outstanding, principal, interest and penal charges
  • Sanction letter and all facility agreements
  • Security documents — mortgage deed, hypothecation deed, guarantee deed, and any subsequent guarantee for restructured facilities
  • CERSAI search report — for charges on Patna properties in Kankarbagh, Rajendra Nagar, Bailey Road, Boring Road, Patliputra, Danapur or Exhibition Road
  • CBS OTS sanction letter — on bank letterhead, signed by an authorised Scale-IV officer
  • RTGS / NEFT UTR receipts — timestamped proof of every payment
  • No Dues Certificate and CERSAI discharge — the closure documents without which the settlement is incomplete
What the OTS Sanction Letter Must Contain

Six clauses that make a bank loan settlement enforceable — and six that make it worthless

A settlement is only as strong as the paper it sits on. If the bank asks for more money after you have already paid, you are entitled to insist on a written sanction letter fixing the final figure and confirming the NOC before you pay another rupee.

01

Loan account number and total outstanding

The letter must identify the exact account and state the total outstanding — principal, interest and penalty separately. A letter that fixes a settlement figure without stating what it settles is unenforceable against a later claim.

Verify against the CBS record
02

Settled amount and payment dates

The precise OTS figure, the upfront percentage (typically 20–30%), the instalment dates, and the account into which payment is to be made. The offer validity window — usually 90 to 120 days — must be stated.

Patna branch-level verification
03

Full and final satisfaction clause

An express recital that the OTS amount is accepted in full and final satisfaction of all claims under the loan and guarantee, and that no further amount is payable.

Essential for DRT Patna consent terms
04

Guarantor release

An OTS signed only by the corporate borrower does not automatically discharge personal guarantors unless the OTS deed expressly releases them. Guarantors must join the deed as confirming parties, and the release must be in writing.

Frequent gap in Patna corporate OTS deeds
05

Security release and CERSAI discharge undertaking

The bank’s undertaking to return original title documents, release the mortgage, and file CERSAI discharge on receipt of the full OTS amount. Without it, the charge remains on the Patna property even after payment.

Check CERSAI after closure
06

Default and revival clause

An express clause that failure to pay any instalment entitles the bank to revoke the OTS and resume all enforcement proceedings, with full rights to claim the original outstanding minus payments made. Read this clause before signing — it is the clause that undoes the settlement.

Tax on the Waiver — Do Not Ignore It

The waived amount is not automatically tax-free — and most borrowers discover this after signing

Whether the portion of the loan written off is taxable depends on what was waived, why the loan was taken, and who is doing the settling. Three provisions matter.

Section 41(1) — Income Tax Act, 1961

Waived interest that was claimed as a deduction is taxable

If the borrower had claimed a deduction for accrued interest on the loan in earlier years — common for business borrowers where loan interest is a business expense — and the bank now waives that accrued interest as part of the OTS, the waived interest is treated as a cessation of liability under Section 41(1) and is taxable in the year the OTS deed is executed.

Taxable: waived interest previously claimed as deduction

Section 28(iv) — judicial position is split

Waiver of principal — the answer depends on the purpose of the loan

The Gujarat High Court has held that Section 28(iv) applies only to non-monetary benefits and perquisites, so a cash waiver cannot be taxed under it. But the Madras High Court in CIT v. Ramaniyam Hotels differed, holding that waiver of the principal portion of a term loan should have been taxed under Section 28(iv). The safe course for a Patna borrower is a written opinion from a Chartered Accountant before signing the OTS deed, and factoring the exposure into the offer made to the bank.

Position depends on loan purpose — obtain a CA opinion

Section 56(2)(x) — Income from Other Sources

Where the loan or interest is converted into equity

If the bank converts the loan or interest into equity, Section 56(2)(x) applies: the difference between the fair market value of the shares on the date of conversion and the consideration paid or adjusted is treated as deemed income. For a Patna MSME or company borrower, this is the provision most often missed when an OTS is structured as a debt-to-equity swap.

Taxable: FMV of shares minus consideration

Practical note for Patna borrowers

Waiver of principal is generally not taxable under Section 41(1)

The principal amount waived — the difference between the outstanding principal and the OTS principal accepted — is generally not taxable under Section 41(1), because the original borrowing was not a deductible expense. The complexity arises for financial companies where the loan was recorded as a liability and the waiver creates a credit to the profit and loss account. Document the settlement terms precisely so the accounting and tax treatment can be justified to the Assessing Officer.

Not taxable under 41(1): principal waiver
The CIBIL Consequence

“Settled” is not “Closed” — and the difference costs you seven years

A bank loan settlement resolves the debt with the lender. It does not resolve the credit report. That single word on the CIBIL record is what every future lender reads.

What gets reported

Once the OTS is completed, the account status on the CIBIL report changes from “Closed” to “Settled”. That notation typically remains for up to seven years from the date of settlement, and drops the score by 75–100 points.

It affects eligibility for fresh credit and pushes up the interest rate on any loan that is approved. For a Patna borrower planning a home loan, business expansion or a fresh working capital facility, this is often the real cost of the settlement.

The “Settled” to “Closed” upgrade

The RBI Master Circular permits a borrower to later pay the waived amount to the bank and obtain a “Settlement-to-Closed Upgrade” letter confirming full recovery. Filed with CIBIL, the status changes from “Settled” to “Closed”.

This is the cleanest route to restoring creditworthiness after a bank loan settlement — and it should be negotiated into the OTS deed as an option, where the borrower expects to be able to fund the balance later.

Remedy When the Bank Refuses or Resiles

What a Patna borrower can actually do when an OTS breaks down

The Patna High Court has been consistent on one point: a writ petition is not the route to compel a bank to settle. The statutory remedy must be exhausted first — and there is a specific forum for each breakdown.

The Supreme Court’s warning to banks that resile after settlement

The Supreme Court has held that initiating criminal proceedings for fraud and forgery after a final bank loan settlement — particularly an OTS endorsed by a judicial forum — is an abuse of process, and that the sanctity of OTS must be protected. For a Patna borrower who has paid under a recorded settlement, this is the strongest authority against a bank that later reopens the account.

Patna Case Law on Bank Loan Settlement

What the Patna High Court and DRT Patna have actually held on OTS

Five rulings that decide how a Patna OTS dispute will be treated — and what a writ court will and will not do.

Patna High Court · Suman Kumar v. State of Bihar

Writ cannot compel a bank to grant OTS or loan waiver

The petitioner, who had availed an education loan and defaulted, sought a one-time settlement, a five-year repayment extension and a partial waiver through a writ petition under Article 226. The Patna High Court held that the inability to repay was a personal financial grievance, not a legal wrong by the State or the bank. With no breach of statutory duty, violation of natural justice or infringement of a specific legal right, the writ was not maintainable. The Court granted liberty to file a representation before the Regional Manager, Bihar Gramin Bank, and directed that it be decided within three months.

Holding: No writ to compel OTS — representation route instead

Patna High Court · Sanjay Kumar Singh v. Punjab National Bank · 1 Oct 2026

Writ refused to enforce a PNB settlement — SARFAESI remedy must be exhausted first

The proprietor of a rice mill at Kutumba, Aurangabad, alleged that a settlement dated 29 December 2021 fixed his liability at ₹25,70,000, that he had already deposited ₹20,00,000, and that PNB refused to accept the balance. Justice G. Anupama Chakravarthy declined to entertain the writ, relying on United Bank of India v. Satyawati Tondon and Celir LLP v. Bafna Motors: the High Court will ordinarily not entertain Article 226 where an effective remedy is available, and this rule applies with greater rigour in recovery of bank dues. The petitioner was given liberty to approach the appropriate forum, with the aspect of limitation left open.

Holding: Writ barred — go to the SARFAESI forum

Patna High Court · Syed Mohammad Gufran

Successive OTS proposals rejected — writ declined where efficacious remedy exists

The borrower challenged the bank’s rejection of successive bank OTS proposals, including a proposal to pay ₹3,95,608. The Patna High Court found that the petition raised disputed questions about the legality of the recovery measures and the applicability of the relevant OTS policy — matters for the statutory forum, not for Article 226.

Holding: OTS policy disputes go to the statutory forum, not the writ court

Patna High Court · 2025

DRT can recall a Lok Adalat settlement induced by misrepresentation

In a Mega Lok Adalat held at the tribunal on 17 December 2014, the petitioner gave the impression that he had already discharged the bank’s dues when only a fraction had been paid. The Patna High Court dismissed the borrower’s writ challenging the DRT’s recall of that settlement, holding that the DRT has the power to recall orders made under a factual mistake or induced by fraud.

Holding: DRT can recall a settlement obtained by misrepresentation

Patna High Court · Deepak Kumar v. State of Bihar

Writ becomes infructuous once the OTS is completed

Where the matter was settled under the One-Time Settlement scheme and nothing remained payable by the petitioner to the bank, the Patna High Court held that the writ petition had become infructuous. The practical lesson: complete the OTS and obtain the NDC — the litigation then falls away on its own.

Holding: Completed OTS renders pending writ infructuous

FAQs — Bank Loan Settlement in Patna

Direct answers on bank OTS and debt settlement

A bank loan settlement — called a bank OTS or debt settlement — is a negotiated compromise in which the lender accepts a lump sum or structured payment that is less than the total outstanding, in full and final satisfaction of an NPA account. The borrower pays the agreed amount, and the bank closes the account, releases the securities and issues a No Dues Certificate. It is formally termed a “compromise settlement” in RBI circulars and is governed by the RBI Framework for Compromise Settlements and Technical Write-offs dated 8 June 2023.

No. OTS is available only for accounts classified as Non-Performing Assets under the RBI’s IRAC norms — accounts in default for 90 days or more. Standard assets — accounts current or overdue for less than 90 days — cannot be compromised. Substandard, doubtful and loss accounts, including fully written-off accounts, are eligible. Wilful default and fraud accounts can also be settled under the June 2023 Framework, subject to Board-recorded justification and a 12-month cooling-off period.

No. OTS is a commercial decision of the lender, not a right available to the borrower. The RBI framework treats the bank’s decision on an OTS proposal as a commercial judgment the regulator will not override. However, where the bank’s Board-approved policy provides for OTS in a particular account category, the bank must apply the policy consistently and cannot arbitrarily deny an eligible borrower on grounds not specified in the policy.

From the hardship side: Income Tax Returns for 2–3 years showing decline or loss, audited P&L and GST filings for business borrowers, 6–12 months of certified bank statements across all accounts, medical records for chronic illness, termination letters for job loss, a death certificate where applicable, and a written statement of hardship explaining the original loan terms, cause of default, current income and maximum offer. From the loan side: the facility-wise account statement, sanction letter, security and guarantee documents, and a CERSAI search report for the Patna property charge.

The seven stages are: (1) written OTS proposal with hardship file to the Recovery / NPA department; (2) the bank’s internal assessment against its Board-approved policy, comparing the OTS amount against the net present value of expected recovery through DRT or SARFAESI; (3) Credit Committee approval, commonly above ₹5 crore, and Board approval above the Committee’s delegated authority, often ₹25 crore; (4) OTS sanction letter issued, typically valid 90–120 days; (5) OTS deed signed and payment made by cheque, NEFT or RTGS; (6) No Dues Certificate, withdrawal of DRT and SARFAESI proceedings, return of title documents and CERSAI discharge; (7) credit bureau reporting as “Settled”.

Typical OTS settlements fall in the range of 40% to 70% of the outstanding — that is, the borrower pays 40–70% and the bank waives penalty and interest, and sometimes a portion of principal. The percentage moves with the stage: a first offer after 90 days may be 80–90% of outstanding, after 180+ days NPA it may be 60–75%, after legal notice or SARFAESI it may be 40–55%, and for old written-off accounts of 3+ years it can fall to 25–40%. The bank’s calculus is simple: compare immediate OTS cash against the probability of legal recovery two to four years later, net of 30%+ legal cost.

It depends on what was waived. Waived interest that was claimed as a deduction in earlier years is taxable under Section 41(1) as a cessation of liability, in the year the OTS deed is executed. Waived principal is generally not taxable under Section 41(1) because the original borrowing was not a deductible expense. Section 28(iv) is contested — the Gujarat High Court has held it applies only to non-monetary benefits, while the Madras High Court in Ramaniyam Hotels held that waiver of the principal of a term loan should be taxed under it. Where the loan or interest is converted into equity, Section 56(2)(x) taxes the difference between the fair market value of the shares and the consideration paid. Obtain a written CA opinion before signing the OTS deed.

The account status changes from “Closed” to “Settled”, and that notation remains on the credit report for up to seven years from the date of settlement, typically dropping the score by 75–100 points. This affects eligibility for fresh credit and increases the interest rate on any loan that is approved. The RBI Master Circular permits a later “Settlement-to-Closed Upgrade”: the borrower pays the waived amount, the bank issues an upgrade letter confirming full recovery, and the status changes from “Settled” to “Closed”.

An OTS deed is a binding contract under the Indian Contract Act, 1872. Where the OTS was entered into during DRT proceedings, DRT Patna has jurisdiction to enforce it as consent terms under Section 19 of the RDB Act. The Supreme Court has also held that initiating criminal proceedings for fraud and forgery after a final settlement — particularly one endorsed by a judicial forum — is an abuse of process, and that the sanctity of OTS must be protected. The Patna High Court, however, has repeatedly refused writ petitions to enforce an OTS where the SARFAESI statutory remedy remains available.

Ordinarily, no. In Suman Kumar v. State of Bihar, the Patna High Court held that inability to repay is a personal financial grievance, not a legal wrong, and a writ of mandamus cannot direct a bank to grant a waiver or extension absent a violation of legal or fundamental rights. In Sanjay Kumar Singh v. Punjab National Bank (1 October 2026), the Court refused to entertain a writ to enforce a ₹25.70 lakh PNB settlement despite ₹20 lakh already paid, holding that the SARFAESI remedy must be exhausted first. The writ route is preserved for jurisdictional errors — not for enforcing a commercial settlement.

Not automatically. An OTS signed only by the corporate borrower does not discharge the personal guarantee liability of the promoters or directors who signed guarantee deeds, unless the OTS deed expressly releases the guarantor. Banks typically require personal guarantors to join the OTS deed as confirming parties. For a Patna company borrower, the guarantor release clause must be negotiated into the deed — not assumed.
